Advertising Management Terms & Conditions

COMPANY INFORMATION


1. SERVICE OVERVIEW

Maverik Labs provides comprehensive advertising management services including Google Ads management, Meta (Facebook/Instagram) Ads management, campaign setup, conversion tracking implementation, audience management, retargeting campaigns, and monthly performance reporting ("the Service").


2. PAYMENT TERMS

2.1 Setup Fee: One-time setup fee for campaign, audience and conversion tracking implementation as displayed at checkout.

2.2 Monthly Management Fee: As displayed at checkout and confirmed in your Stripe payment receipt.

2.3 Payment Method: Setup fee due immediately; monthly management fee via automatic monthly billing through Stripe.

2.4 Currency: All payments in GBP (£) unless otherwise specified.

2.5 Ad Spend: Client pays advertising costs directly to platforms (Google, Meta, etc.). Our fees are for management only.

2.6 Failed Payments: Service may be suspended after 7 days of failed payment. Reconnection fee may apply.

2.7 Price Changes: 30 days written notice required for any management fee increases.


3. CONTRACT TERM

3.1 Minimum Term: 3 months from service commencement date.

3.2 Auto-Renewal: Service automatically renews monthly after minimum term unless cancelled.

3.3 Service Commencement: Work begins within 48 hours of payment confirmation and platform access.


4. CANCELLATION RIGHTS (UK CONSUMER CONTRACTS REGULATIONS 2013)

4.1 14-Day Cooling-Off Period: You have the right to cancel within 14 days of subscribing without giving a reason. However, as our service begins immediately upon payment, you acknowledge that cancellation during this period will incur charges for work completed.

4.2 Express Consent: By proceeding with payment, you expressly request that we begin performance immediately and acknowledge that you lose your right to a full refund if you cancel after we have begun work.

4.3 After 14 Days: 30 days written notice required via email to operations@maveriklabs.com. Service continues until the end of current billing period.

6. CLIENT RESPONSIBILITIES

6.1 Platform Access: Client must provide necessary access to advertising platforms (Google Ads, Meta Business Manager) for campaign setup and management.

6.2 Ad Spend Budget: Client must maintain funded advertising accounts with sufficient budget to cover agreed daily spend levels.

6.3 Creative Content: Client must provide or approve all creative content including ad copy, images, and videos required for campaigns.

6.4 Landing Pages: Client must ensure landing pages are optimised and compliant with platform advertising policies.

6.5 Timely Feedback: Client must provide feedback within 7 days of review requests to avoid campaign delays.

6.6 Platform Compliance: Client must ensure all business practices comply with advertising platform policies.


7. PERFORMANCE AND GUARANTEES

7.1 No Performance Guarantees: We do not guarantee specific results such as click-through rates, conversion rates, or return on ad spend.

7.2 Best Efforts: We commit to using industry best practices and ongoing optimisation to improve campaign performance.

7.3 Platform Dependencies: Performance is subject to advertising platform algorithms, policies, and market conditions beyond our control.

7.4 Reporting: Monthly performance reports will be provided showing key metrics and campaign insights.


8. INTELLECTUAL PROPERTY

8.1 Client Content: Client retains ownership of all brand assets, creative content, and materials provided.

8.2 Campaign Structure: Upon completion of minimum term and full payment, client receives campaign structure and settings documentation.

8.3 Shared Assets: Any audiences, tracking codes, or campaign structures we create remain accessible to client throughout and after service period.

8.4 Proprietary Methods: Our campaign management methodologies and reporting templates remain our intellectual property.


9. REFUND POLICY

9.1 Setup Fee: Non-refundable once campaign setup work has commenced.

9.2 Monthly Management Fee: Refund available minus charges for work completed during 14-day cooling-off period.

9.3 After Minimum Term: No refunds for future periods after valid cancellation notice.

9.4 Pro-Rata Refunds: Not available for partial months.

9.5 Failed Service Delivery: Full refund available if we fail to deliver agreed services within reasonable timeframe.


10. LIABILITY AND WARRANTIES

10.1 Platform Availability: We aim for consistent campaign management but cannot guarantee uninterrupted platform access.

10.2 Limitation of Liability: Our liability is limited to the amount paid for services in the 3 months preceding any claim.

10.3 Excluded Damages: We are not liable for indirect, consequential, or loss of profit damages.

10.4 Platform Suspensions: We are not liable for advertising account suspensions or policy violations by platforms.

10.5 Ad Spend: We are not liable for advertising costs incurred on platforms; client maintains full control of platform billing.


11. DATA PROTECTION AND PRIVACY

11.1 Privacy Policy: Our handling of personal data is governed by our Privacy Policy available at maveriklabs.com/privacy-policy

11.2 GDPR Compliance: We process personal data in accordance with UK GDPR requirements.

11.3 Platform Data: Campaign data and insights remain accessible to client through platform dashboards.

11.4 Third-Party Services: We may use third-party tools for campaign management with their own privacy policies.


12. TERMINATION

12.1 Termination for Cause:

We may terminate immediately for:

13. FORCE MAJEURE

We are not liable for delays or failures due to circumstances beyond our reasonable control, including but not limited to advertising platform outages, policy changes by platforms, natural disasters, government actions, or cyber attacks affecting advertising platforms.


14. GOVERNING LAW AND DISPUTES

14.1 Governing Law: These terms are governed by the laws of England and Wales.

14.2 Jurisdiction: Courts of England and Wales have exclusive jurisdiction.

14.3 Alternative Dispute Resolution: We encourage resolution through direct communication before formal proceedings.

14.4 Small Claims: Disputes under £10,000 may be resolved through Small Claims Court.


15. GENERAL PROVISIONS

15.1 Entire Agreement: These terms constitute the entire agreement between parties.

15.2 Amendments: Changes must be agreed in writing.

15.3 Severability: If any provision is unenforceable, remaining provisions continue in effect.

15.4 Assignment: We may assign this agreement; client may not without written consent.

15.5 Notices: All notices must be sent to legal@maveriklabs.com for us, and to client's registered email address.


16. STRIPE PAYMENT PROCESSING

16.1 Payment Processor: Payments processed by Stripe, Inc. Subject to Stripe's Terms of Service.

16.2 Payment Security: Card details processed securely by Stripe; we do not store payment information.

16.3 Billing Disputes: Contact us first for billing queries; chargebacks may result in service suspension.

16.4 Subscription Management: Changes to payment methods through customer portal or by contacting support.


17. ACCEPTANCE OF TERMS

By completing payment through Stripe, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. You confirm you are authorised to enter into this agreement and that all information provided is accurate.


For business customers: You confirm you are purchasing this service for business purposes and may not be entitled to the same consumer protections.
